Sigo un blog de derecho inglés, que ha publicado una entrada muy interesante sobre los contratos de compra de banderillas de la UE.
El contrato en el que basa el comentario es el de Curevac (qué se ha hecho público), no el de AZ, pero supone (y yo creo) que serán similares. Si el contrato de AZ es parecido al de Curevac en el tema de los "reasonable best efforts", la UE no tiene demasiada capacidad de exigir nada a AZ, ya que la obligación va a ser en general muy difícilmente coercible.
En derecho inglés, que significa reasonable endeavours y best endeavours está bastante definidos por los tribunales. Esto es derecho belga y ni yo ni el autor tenemos ni idea de derecho belga, pero la mera definición de "reasonable best efforts" que contiene este contrato sometido a derecho belga parece que deja muy abierto el contenido obligacional de este contrato de Curevac y, en su caso, el de AZ.
Si la UE fiaba su "estrategia" de compra de banderillas a expensas de estos contratos, pues es una cagada. No porque se pudieran hacer mejores contratos (nadie se va a comprometer a entregar un número determinado de banderillas, en un plazo, cuando no están desarrolladas), sino porque esto no se trataba de hacer contratos, sino de poner todos los medios necesarios para que las banderillas se fabrican y se entreguen. Y para eso, tenían más medios los estados que la UE.
Además, AZ tiene una obligación con el Reino Unido, de no enviar producción de UK a otros territorios, pero eso no parece que este en el contrato de la UE. Los piratas no son simples.

On the basis of this APA, the contractor commits to use reasonable best efforts (i) to obtain EU marketing authorisation for the Product and (ii) to establish sufficient manufacturing capacities to enable the manufacturing and supply of the contractually agreed volumes of the Product to the participating Member States in accordance with the estimated delivery schedule set out below in Article I.11 once at least a conditional EU marketing authorisation has been granted.

‘Reasonable best efforts’: a reasonable degree of best effort to accomplish a given task, acknowledging that such things as, without limitation, the complex and highly regulated nature of the Product; the timely availability of raw materials, inventories and liquid funds; yield of process; the success of necessary clinical trials programs to support safety and immunogenicity data for the Product; the approval of the final Product formulation; contractor’s commitments to other purchasers of the Product; other reasons relating to the uncertainties of producing a new vaccine for a new disease with an mRNA platform for which vaccines have not yet been registered by regulatory authorities; and any other currently unknown factors which may delay or render impossible, contractor’s successful completion of the particular task, including without limitations, developing a suitable production process as may be required for a new strain of bichito, ramping up capacity at contract manufacturing partners, meeting delivery schedules and obtaining the EU marketing authorisation may be beyond the complete control of the contractor, provided, however, that the contractor shall not be required to take any actions inconsistent with past practice, ordinary course of business, prudent and reasonable business behaviour and/or the contractor’s budget plannings at the date hereof.
