Banca Cívica, formed recently by the merger of three Spanish savings and loans institutions – known as cajas – said it had sold the securities to JC Flowers, the US buy-out group. Banca Cívica was one of five Spanish institutions to fail the tests. The deal with JC Flowers was agreed in principle – but some details are yet to be finalised. Its announcement was rushed out to meet the stress test deadline, according to one person familiar with the situation. The bonds pay interest of 7.5 per cent, making them 25 basis points cheaper than to tap Spain’s own bank restructuring fund, known as the Frob. The Frob was set up last year by Spain’s central bank with an initial €9bn – which can be leveraged to €99bn – to encourage the consolidation of the country’s overcrowded and weakened financial sector. After a slow start to the process, most of the country’s original 45 cajas have now been absorbed into much fewer, larger entities. Banca Cívica, for example, is the result of the merger of Caja Navarra, Caja Burgos and CajaCanarias. The new bank is the first to take advantage of a recently enacted law that allows cajas to sell shares carrying voting rights. By the terms of the securities, JC Flowers will be able to convert them to voting stock within two years – but only after Banca Cívica secures a stock market listing. Cajas, which have been extremely vulnerable to the global credit crunch, Spain’s property crash and ensuing domestic recession, were the main casualties of stress tests. Most of the institutions that failed the test, however, are likely to be recapitalised directly from the Frob. JC Flowers, one of the world’s foremost private equity investors in the financial services market, has been targeting Europe in recent months. Having made unsuccessful offers for Northern Rock and Friends Provident, JC Flowers is close to breaking into the UK by paying £50m ($77m) for slightly less than half of Kent Reliance building society.
